Terms & Conditions
These terms set out the rules for using Mechanism, what you can expect from us, and what we expect from you. Please read section 2 in particular — Mechanism is a software tool, not a substitute for a lawyer.

Acceptance of these terms
These Terms & Conditions (the “Terms”) are a contract between you and Mechanism, Inc. (“Mechanism”, “we”, “us”) governing your use of the Mechanism website, waitlist, and workspace application (together, the “Service”).
By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind it, and “you” refers to that organization.
Mechanism does not provide legal advice
Mechanism is a software tool, not a law firm, and using it does not create an attorney-client relationship. Nothing produced by the Service is legal advice, and no communication with us or with the Service is protected by the attorney-client privilege or the work product doctrine.
The Service can help you draft, organize, summarize, and search legal documents, but it cannot assess your specific circumstances, cannot exercise professional judgment, and may be wrong. You are responsible for any document you rely on, sign, or send.
Have a qualified lawyer in the relevant jurisdiction review anything with legal or financial consequences before you act on it.
Eligibility and your account
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate account information and to keep it current.
You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at hello@getmechanism.com if you suspect unauthorized access.
Waitlist and early access
Mechanism is in active development. Joining the waitlist does not guarantee access, and we may grant, limit, or withdraw early access at our discretion.
Pre-release features may be incomplete, may change substantially, and may be withdrawn without notice. They are provided for evaluation and should not be relied upon for production work.
Your content
You retain all rights to the documents and other content you upload (“Your Content”). We claim no ownership of it.
You grant us a limited, non-exclusive, worldwide license to host, store, copy, transmit, index, and process Your Content solely to operate the Service for you — for example, to extract text, build a search index, and generate answers to your questions. This license ends when you delete the content or close your account, except for copies retained in backups as described in our Privacy Policy.
You represent that you have the rights necessary to upload Your Content and that doing so does not violate any law, contract, or confidentiality obligation you owe to someone else.
Acceptable use
You agree not to:
- use the Service to practice law without the qualifications required in your jurisdiction, or to hold out its output as advice from a qualified lawyer;
- upload content you do not have the right to share, or that infringes someone else’s intellectual property or privacy rights;
- attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
- reverse engineer, scrape, or use the Service to build a competing product;
- interfere with the integrity or performance of the Service, including by circumventing rate limits; or
- use the Service for any unlawful or fraudulent purpose.
AI-generated output
The Service uses AI models to generate summaries, answers, and drafts (“Output”). AI systems can produce information that is inaccurate, incomplete, or fabricated, including citations to sources that do not say what the Output claims.
You are responsible for reviewing and verifying Output before relying on it. Given the nature of machine learning, Output is not unique — other users may receive similar responses to similar questions, and we make no representation that Output is original or free of third-party rights.
As between you and Mechanism, and to the extent permitted by law, you own the Output generated from Your Content.
Fees and billing
Mechanism may be offered free of charge during early access. We may introduce paid plans in future, and we will give you at least 7 days notice before any charges apply to your account.
Where fees apply, they are stated at the point of purchase, are payable in advance, and are non-refundable except where required by law or expressly stated otherwise.
Our intellectual property
The Service, including its software, design, and branding, is owned by Mechanism and protected by intellectual property laws. These Terms grant you a limited, revocable, non-transferable right to use the Service; they do not transfer any ownership to you. You may not use our name or logo without our prior written permission.
Third-party services
The Service relies on third-party providers for hosting and AI model inference. Their availability and behaviour are outside our control, and we are not responsible for their acts or omissions. Your use of the Service is also subject to any applicable terms those providers impose, which we will make known to you where relevant.
Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use poses a security or legal risk, or if we discontinue the Service.
Except where we terminate for cause, we will give you reasonable notice and a chance to export Your Content. Sections that by their nature should survive termination — including sections 5, 9, 12, 13, 14 and 15 — will survive.
Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that Output will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, Mechanism will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the Service.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
Indemnification
You agree to indemnify and hold harmless Mechanism and its officers, directors, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising out of Your Content, your use of the Service, or your breach of these Terms — except to the extent the claim arises from our own breach or negligence.
Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. The state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute, and both parties consent to their jurisdiction and venue — except that either party may seek injunctive relief in any court of competent jurisdiction.
If you are a consumer, you retain the benefit of any mandatory protections of the law of the place where you live, and nothing here deprives you of the right to bring proceedings in your local courts.
Changes to these terms
We may update these Terms as the Service evolves. If we make material changes, we will update the “last updated” date above and notify you by email or through the Service before they take effect. If you do not agree to the revised Terms, stop using the Service and close your account.
